Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Modula, a service provided by Chia Lab Srl (“Chialab”, “we”, “us”), a company incorporated under Italian law with registered office in Bologna, Italy. By creating an account or using Modula, you agree to be bound by these Terms.


1. The Service

Modula is a subscription-based platform that gives you access to a library of Web Components, curated SKILLs, and AI connectors (MCP servers) for composing interactive editorial and educational content (“Artifacts”). The platform is available at https://modula.dev.

2. Subscription Plans

Modula is offered in three tiers:

Playground is a free tier for exploration and personal projects. It includes a subset of components and SKILLs. You may not sell, license, or otherwise commercially distribute Artifacts created with the Playground plan. Artifacts created under the Playground plan must retain the Modula attribution mark as required by the applicable component license.

Pro gives you access to the full component library and all public SKILLs. Commercial use of Artifacts is permitted. Attribution is removable at your discretion.

Business is designed for organizations that require custom SKILLs, dedicated support, SLA guarantees, or design-system integration managed by Chialab. Terms are agreed individually per contract.

3. License Grant

3.1 During an active subscription

While your subscription is active, Chialab grants you a non-exclusive, non-transferable, worldwide license to:

  • access and use the Modula platform and its components;
  • create Artifacts using the components;
  • distribute and (where your plan permits) commercially exploit Artifacts you create.

3.2 Perpetual license on Artifacts

The license granted to Artifacts you create while your subscription is active is perpetual: Artifacts continue to function and may be distributed indefinitely even after your subscription ends. The components embedded in an Artifact at the time of creation are licensed to you for that Artifact for as long as you need it.

3.3 Restrictions

You may not:

  • redistribute or sublicense the Modula components as a standalone library or as part of a competing product;
  • use automated means to bulk-download component source code beyond what is necessary to create Artifacts;
  • circumvent authentication or license enforcement mechanisms;
  • create Artifacts for commercial purposes on the Playground plan.

4. What Happens When a Subscription Ends

When your subscription expires or is cancelled, you lose:

  • the right to create new Artifacts with Modula;
  • access to component updates and bug fixes;
  • access to SKILLs and AI connectors;
  • access to support.

Artifacts you already created under an active subscription are not affected: the perpetual license granted under Section 3.2 remains in force.

5. Accounts and Authentication

Access to the Modula platform requires a registered account. You are responsible for keeping your credentials secure and for all activity that occurs under your account. You must notify us immediately at info@chialab.it if you suspect unauthorized use.

6. Payment and Renewals

Subscription fees for Pro and Business plans are invoiced in advance. Plans renew automatically unless cancelled before the renewal date. Prices are listed in euros (EUR) and are exclusive of VAT where applicable. Chialab reserves the right to change prices with at least 30 days’ notice.

7. Acceptable Use

You agree not to use Modula to create content that:

  • infringes third-party intellectual property rights;
  • violates applicable law or regulation;
  • is defamatory, obscene, or intended to harm others.

Chialab may suspend or terminate accounts that violate these rules.

8. Disclaimer of Warranties

Modula is provided “as is” without warranty of any kind. To the maximum extent permitted by applicable law, Chialab disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Chialab’s total liability for any claim arising out of or relating to these Terms or the use of Modula shall not exceed the amount you paid to Chialab in the twelve (12) months preceding the event giving rise to the claim, or €100 if no fees were paid.

Chialab shall not be liable for any indirect, incidental, consequential, or punitive damages.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will notify you by email and/or by posting a notice on the platform at least 14 days before the changes take effect. Continued use of Modula after the effective date constitutes acceptance of the updated Terms.

11. Governing Law and Disputes

These Terms are governed by Italian law. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Bologna, Italy, unless mandatory consumer-protection law in your country of residence provides otherwise.
